Abroad Coaching Platform Terms & Conditions

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the abroad.io and platform.abroad.io websites (the "Service") operated by Abroad, LLC ("us", "we", or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you do not have permission to access the Service.

Purchases.

If you wish to purchase any product or service made available through the Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.

You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.

The service may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order, or other reasons.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

Availability, Errors and Inaccuracies.

We are constantly updating product and service offerings on the Service. We may experience delays in updating information on the Service and in our advertising on other web sites. The information found on the Service may contain errors or inaccuracies and may not be complete or current.

Products or services may be mis-priced, described inaccurately, or unavailable on the Service and we cannot guarantee the accuracy or completeness of any information found on the Service.

We therefore reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.

Subscriptions.

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly, quarterly, semi-annual or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Abroad ("us", "we", or "our") cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting the Abroad customer support team.

A valid payment method, including credit card or PayPal, is required to process the payment for your Subscription. You shall provide Abroad with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize Abroad to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, Abroad will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

Free Trial.

Abroad may, at its sole discretion, offer a Subscription with a free trial for a limited period of time ("Free Trial").

You may be required to enter your billing information in order to sign up for the Free Trial.

If you do enter your billing information when signing up for the Free Trial, you will not be charged by Abroad until the Free Trial has expired. On the last day of the Free Trial period, unless you cancelled your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected.

At any time and without notice, Abroad reserves the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free Trial offer.

Fee Changes.

Abroad, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

Abroad will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

Refunds.

Certain refund requests for Subscriptions may be considered by Abroad on a case-by-case basis and granted in sole discretion of Abroad.

Accounts.

When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

Confidentiality.

Confidentiality and data protection are extremely important to us, and we take it very seriously. All of your responses to our survey questions will be held in strict confidence. Only the Abroad research team will have access to any information that you provide. We will not use your responses to identify you in any way, and your responses containing personal information and passwords will be fully encrypted and stored on a secure server that only our team will have access to. Data will be stored indefinitely and will be destroyed in a secure manner when no longer needed for research purposes. When we publish any results from our database, we will do so in a way that does not identify you or your company. We may also share the data with other researchers and partners to check the accuracy of our research conclusions, but we will only do so when data are stripped of personally identifying information. Any public release of data will be done as a massive aggregate or averages of data, where no company, person, or private group will be personally identified. Any public reports will be done as fully anonymous averages stripped of all identifying information. Furthermore, your personal survey data will not be shared with any other person within your company unless you provide us with written permission to do so. Data may be shared as group aggregates, where identifiers have been stripped and no single person can be identified within a group’s data.

Voluntary Participation.

Our surveys are completely voluntary. This means you are free to decline to participate, to end participation at any time for any reason, or to refuse to answer any individual question without penalty or loss from Abroad. Your participation in our surveys are extremely valuable for our research on the health of leaders, employees, and businesses, and we hope that participating will also prove to be an educational experience for you.

Intellectual Property.

The Service and its original content, features and functionality are and will remain the exclusive property of Abroad and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Abroad. 

Links To Other Web Sites.

Our Service may contain links to third party web sites or services that are not owned or controlled by Abroad.

Abroad has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

You acknowledge and agree that Abroad shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third party web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third party web sites or services that you visit.

Termination.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Indemnification.

You agree to defend, indemnify and hold harmless Abroad and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

Limitation Of Liability.

In no event shall Abroad, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Disclaimer.

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Abroad, its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

Exclusions.

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

Governing Law.

These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

Changes.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

Abroad Experient Terms & Conditions 

Abroad manages arrangements for professional training, accommodations, local tours, events, and other services (“Quests”);

It is a condition that all Participants, Partners and Teams (collectively, the “Client Parties”, each a “Client Party”) confirm, understand and agree to be bound by the following:

Scope of Relationship.

Abroad is not acting as a third-party agent for any airline or other form of transportation used or provided during the Quest. Abroad is not involved in selling services or in accepting reservations or booking accommodations or services that are not directly supplied by Abroad such as air transportation, hotel accommodations, ground transportation, meals, etc. Therefore, Abroad shall not be responsible for breach of contract, inconvenience, misconduct or any intentional or careless acts or omissions on the part of any such suppliers, independent contractors, employees, agents or related entities, which result in any loss, damage, delay or injury to the Client Parties or any property or personal possessions of the Client Parties.

Risks of Travel.

The Client Parties understands and assumes all risks of travel, whether expected or unexpected, to the intended destinations and the activities, confirms that accidents, property damage, serious bodily injuries, and fatalities may occur during travel and confirms that any recourse for such incidents may not be sought from Abroad. The Client Party must seek such recourse, if available, directly from any airline, hotel, inn, restaurant, travel agency, transportation provider, tour guide, visited site or other contracted entity. The Client Party understands that travel in the ocean, on highways, railways, roads, or streets may be included in the Quest and does so at its own risk and releases Abroad from liability for any damages, injuries, or death that might occur to the Client Party as a result of such activities.

Indemnification.

The Client Party shall indemnify Abroad and its members, managers, officers, employees and representatives (each, an "Indemnified Party"), from any and all claims, losses, liabilities, damages, expenses, and costs, including attorneys' fees and court costs (collectively, "Claims") which result from: (i) any breach by the Client Party of its obligations under this Agreement, including, but not limited to, any representation, warranty or covenant of the Client Party hereunder; (ii) any acts of gross negligence or intentional misconduct by the Client Party in the performance of its obligation under this Agreement; (iii) any loss, damage or injury suffered to the Client Party as a result of participation in the Quest or (iv) any unlawful act or violation of any applicable local, state, national, or international law or regulation by the Client Party, provided that the Indemnified Party gives the Client Party written notice of any such Claim and the Client Party has the right to participate in the defense of any such Claim at the Client Party's expense. Knowing that such risks exist, the Client Party hereby releases and holds harmless Abroad, its members, managers, employees, agents, and volunteers, from any and all liability in relation to the arrangements and participation in the programs or tours arranged.

Limitations on Damages.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ABROAD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE QUEST. ANY CAUSE OF ACTION OR CLAIM ARISING OUT OF THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR OF THE END DATE (AS DEFINED IN THE ABROAD MASTER SERVICES AGREEMENT AND THE STATEMENT OF WORK). UNDER NO CIRCUMSTANCES SHALL ABROAD BE LIABLE FOR ANY DAMAGES BEYOND THE TOTAL FEE.

Client Party in Good Health.

The Client Party represents and warrants that he/she is in good health. Abroad is not responsible for any costs, delays or cancellations as a result of the physical, mental or emotional health of the Client Party. The Client Party understands the responsibility of purchasing and maintaining personal insurance for overseas health care for sickness or injury, trip cancellation and emergency repatriation to their home and confirms that no misrepresentation has been made as to the status of the Client Party’s current health to any insurer. The purchase of  travel insurance is mandatory to protect the Client Party against potential losses. It is the responsibility of the Client Party to purchase coverage directly from the insurance provider.

Documentation.

It is the responsibility of the Client Party to provide the proper travel identification which may include passports, visas, etc. for all destinations. The Client Party should verify the travel documentation required well in advance as Abroad is not responsible for any delay or cancellation of any Quest or participation thereof, due to lack of requisite documentation. The Client Party accepts full responsibility for obtaining all such documents, visas and permits prior to the start of the Quest, and the Client Party is solely responsible for any adverse consequences resulting from missing or defective documentation. Any information or advice given by Abroad regarding visas, vaccinations, climate, clothing, baggage, special equipment, etc. is purely advisory and provided as a courtesy to the Client Party.

Compliance with Laws.

There are strict laws at the intended destination respecting possession of banned substances or participation in inappropriate conduct, including but not limited to, inappropriate sexual contact and drug use. The Client Party agrees to abide by the laws of the land, and understands that Abroad maintains a zero-tolerance policy for breaches of local laws. Any breach of such nature which will result in immediate termination of this Agreement without return of any fee already paid to Abroad. 

Fees. 

  • The initial deposit is non-refundable. Any failure to make an installment on the scheduled date including account closures or stop payment fees will result in cancellation of the Quest and all amounts paid at that time will be forfeited as liquidated damages without prejudice to the right of Abroad to recover any additional losses.

  • While the deposit is non-refundable, it can be used towards any tour in the future within one (1) year (with a maximum of one (1) cancelled Quest for each deposit, which will afterward then be considered null & void.)

Cancellation.

The following cancellation policies shall apply to all Quests:

  • If Client Party cancels the Quest more than sixty (60) days prior to the Start Date, then Client Party shall only be entitled to the return of the Final Payment.

  • If Client Party cancels the Quest less than sixty (60) days, but more than twenty-nine (29) days prior to Start Date, Client Party shall only be entitled to the return fifty percent (50%) of the Final Payment; or

  • If Client Party cancels the Quest twenty-nine (29) days or less prior to the Start Date, no refunds are provided.

  • Cancellations must be received in writing by midnight Eastern Standard Time to be eligible for the refund amounts contemplated in subsections a-c.

Abroad retains the right to cancel any Quest with 30 days written notice for lack of the requisite number of participants to attend the Quest. The requisite number of participants shall be at the sole discretion of Abroad and may vary for each Quest. Should the Client Party be scheduled for a Quest that has been canceled by Abroad pursuant to this section, the Client Party may then choose to receive a full refund or apply the amount paid to a future Quest. 

Abroad reserves the right to cancel any Quest, or make any changes to itineraries and dates without refund when such occasions are determined by circumstances that are outside Abroad's control (i.e. airline cancellations, natural disasters, war, or insurrection)

Hotel Accommodations.

The Client Party will be required to present a valid credit card at check-in at hotels during the Quest for any amenities, food and beverage services. The Client Party is responsible for the payment of any additional charges to the room during the Quest. The Client Party agrees to assume all liability and expense to any damage to hotel property that occurs as a result of the actions of the Client Party. The hotel may charge the credit card on file for any charges beyond standard hotel room rates.
